The Team

The Lugano office of GA-Alliance assists Swiss and international clients on a wide range of corporate and commercial matters. Our team works together in a collaborative and friendly atmosphere. Furthermore, our work environment has an international feel as GA-Alliance has a global network of offices in over 80 jurisdictions. We work in particularly close cooperation with the Italian offices. We’re looking for people who are innovative, commercial and value the work that they do. The Role

As part of our high-performance culture, the ideal candidate for the associate role is a motivated lawyer with a solid background in corporate law, proactive and team oriented. You will assist domestic and international clients on corporate matters, working closely with the partner and the other professionals of the Lugano office.

Responsibilities include (but are not limited to):

• Providing day-to-day corporate advice to companies and groups;




• Assisting on M&A transactions, corporate reorganisations and joint ventures;




• Drafting and negotiating corporate and commercial agreements;




• Preparing corporate documentation (shareholders’ and board resolutions, articles of association, etc.);




• Assisting on corporate governance and compliance matters;




• Carrying out legal due diligence activities;




• Conducting legal research and preparing memoranda and opinions;




• Liaising with clients, counterparties and other GA-Alliance offices on cross-border matters.

Abilities

• Approximately 3 years of experience in corporate law, gained in a law firm or in-house legal department;




• Admission to the Bar in Switzerland or Italy – preferred;




• Fluent Italian and English – mandatory; German and/or French – a plus;




• Strong drafting and analytical skills;




• Solid communication skills, both written and verbal;




• Ability to organise, multitask and prioritise;




• Ability to maintain confidentiality and handle sensitive information with discretion;




• Ability to adapt to changing priorities and work in a fast-paced environment;




• Able to work independently and as part of a team;




• Problem solving mindset;




• Honesty, trustworthiness, and respectfulness.
